Engagement & Project Terms
Project Scope
All projects begin with a discovery call to understand your requirements. A detailed scope of work, timeline, and pricing will be provided before any work begins. Changes to the scope may affect timeline and cost, which will be communicated and agreed upon before implementation.
Payment Terms
Payment terms are outlined in each project agreement. Typically, projects require an upfront deposit before work begins, with remaining payments due upon milestone completion or project delivery. Late payments may result in work suspension until resolved.
Communication
Clear communication is essential for project success. I commit to regular updates and responsive communication during business hours. Project timelines assume timely feedback and approvals from you; delays in responses may affect delivery dates.
Intellectual Property
Your Content
You retain ownership of all content, data, and materials you provide for the project. By providing such materials, you grant me a license to use them solely for completing the project.
Deliverables
Upon full payment, you receive ownership of the custom code and deliverables created specifically for your project. This excludes any pre-existing tools, libraries, or frameworks I may use, which remain subject to their respective licenses.
Portfolio Rights
Unless otherwise agreed, I reserve the right to display completed work in my portfolio and use it for promotional purposes, without revealing confidential business information.
Confidentiality
I treat all project information, business strategies, and proprietary data shared during our engagement as confidential. I will not disclose such information to third parties without your consent, except as required by law or as necessary to complete the project (e.g., subcontractors under similar confidentiality obligations).
For projects requiring enhanced confidentiality protections, a separate Non-Disclosure Agreement (NDA) can be executed upon request.
Warranties & Limitations
Service Warranty
I strive to deliver high-quality work that meets the agreed specifications. For a period of 30 days after delivery, I will address any bugs or issues related to the delivered work at no additional cost, provided they fall within the original project scope.
Limitation of Liability
To the maximum extent permitted by law, my liability for any claims arising from services provided is limited to the total amount paid for those services. I am not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.
Third-Party Services
Projects may integrate with third-party services, APIs, or platforms (e.g., OpenAI, AWS, Stripe). I am not responsible for issues arising from changes to, outages of, or discontinuation of such third-party services.
Website Use
This website is provided for informational purposes and to facilitate engagement of my services. You agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to any systems or data
- Transmit any viruses, malware, or harmful code
- Scrape, copy, or reproduce website content without permission
- Interfere with the proper functioning of the website
Termination
Either party may terminate an engagement with written notice. Upon termination:
- Payment is due for all work completed up to the termination date
- You will receive all deliverables completed and paid for
- Confidentiality obligations continue to apply
- Any outstanding balances become immediately due
Dispute Resolution
In the event of any dispute, we agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, disputes may be submitted to mediation or arbitration before pursuing legal action. These Terms are governed by applicable laws, without regard to conflict of law principles.
Changes to These Terms
I reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the website or services after changes constitutes acceptance of the updated Terms.
